Welcome to Smith Watches. The terms "we", "us", and "our" refer to Smith Watches, operated by Kiefer Capital, a Swiss-registered sole proprietorship with registered office at Langwisenstrasse 16, 8103 Unterengstringen, Switzerland (Swiss UID CHE-425.238.318). Orders for US customers are fulfilled from 1991 Del Amo Blvd, Suite 204, Torrance, CA 90501. The store is powered by Shopify.

These Terms of Service, together with the Privacy Policy, Shipping Policy, and Refund Policy referenced on this site (collectively, the "Terms"), govern your access to and use of smith-official.com and the products and services offered through it (the "Services"). By visiting, browsing, or purchasing from the Services, you agree to these Terms.

1. Eligibility and account

You must be at least 18 years old, or the age of majority in your state of residence, to place an order. By placing an order you confirm you have the legal capacity to enter into a binding contract. You are responsible for the accuracy of the information you provide and for keeping your account credentials secure. Notify us at support@smith-official.com if you suspect unauthorized use of your account.

2. Products, pricing, and availability

We work to display product images, descriptions, and specifications accurately. Colors and finish details may differ slightly between screens. Prices are listed in US dollars and may change without notice. Sales tax is calculated at checkout based on the shipping address. We reserve the right to limit quantities, refuse orders, or correct pricing or description errors at our sole discretion. If we cancel an order due to such an error, we issue a full refund.

3. Orders and payment

Placing an order is an offer to buy. We accept the offer when we send the shipping confirmation. Until then, we may decline the order for any reason, including suspected fraud or stock unavailability. Payment is processed at checkout via Shopify Payments and other authorized processors. By providing payment information, you represent that you are authorized to use the payment method.

4. Shipping and risk of loss

Shipping terms, transit times, and carrier details are set out in our Shipping Policy. Title and risk of loss pass to the customer when the carrier accepts the package from our warehouse.

5. Returns and refunds

Our return and refund terms are set out in our Refund Policy. Smith Watches accepts returns for 30 days from delivery and charges a 0% restocking fee on approved returns.

6. Warranty

Smith Watches products are sold with a manufacturer's limited warranty against defects in materials and workmanship under normal use. Warranty details, including duration and what is covered, are provided with each product. The warranty does not cover damage from accident, misuse, water exposure beyond stated rating, normal wear, or unauthorized service. Warranty claims should be submitted to support@smith-official.com with the order number and photos of the issue.

7. Acceptable use

You agree not to use the Services to:

• Violate any applicable law or regulation
• Infringe the intellectual property or other rights of any party
• Submit false, misleading, or fraudulent information
• Upload viruses or other malicious code
• Interfere with the security or operation of the Services
• Scrape, data-mine, or crawl the Services without our written consent

8. Intellectual property

All content on the Services, including text, graphics, logos, images, product photography, and software, is owned by Smith Watches or its licensors and protected by US and international copyright, trademark, and other intellectual property laws. You may view and download content for personal, non-commercial use only. You may not copy, modify, distribute, sell, or create derivative works without our prior written permission. The "Smith Watches" name and logo are trademarks of Kiefer Capital.

9. User content and feedback

If you submit reviews, comments, photos, or other content to the Services, you grant Smith Watches a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, publish, and display that content in connection with the business. You represent that you own or have the rights to the content you submit and that it does not violate the rights of any third party. We may remove content at our discretion without notice.

10. Third-party services and links

The Services may include links to third-party websites and tools (including Shopify, payment processors, and analytics providers). These third parties operate under their own terms and privacy policies. We are not responsible for their content, products, or practices.

11. Disclaimer of warranties

The Services and all products are provided "as is" and "as available" without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except as expressly provided in a written warranty accompanying a product. We do not warrant that the Services will be uninterrupted, secure, or error-free. Some states do not allow the exclusion of certain implied warranties, so portions of this disclaimer may not apply to you.

12. Limitation of liability

To the maximum extent permitted by applicable law, Smith Watches and its operators, employees, and affiliates are not liable for any indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost data, or loss of goodwill, arising from or related to your use of the Services or any product, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from or related to the Services or a product will not exceed the amount you paid for the product giving rise to the claim. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so portions of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Smith Watches, Kiefer Capital, and their respective owners, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of any law, or your violation of the rights of any third party.

14. Governing law and dispute resolution

For customers located in the United States, these Terms and any sale of products to you are governed by the laws of the State of California, without regard to its conflict-of-law rules. The federal and state courts located in Los Angeles County, California have exclusive jurisdiction over any dispute arising out of or related to the Services or these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights. You and Smith Watches agree to attempt to resolve any dispute informally for at least 30 days before filing suit. Nothing in this section limits any rights you may have under applicable consumer-protection law.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms. The following sections survive termination: Intellectual Property, User Content, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive.

16. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Material changes will be communicated as required by law. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
